Client Authorization Contract

This Client Authorization Contract ("Contract") is entered into between EMD Consortia ("Company"), having its place of business at mailing address [808 Chestnut St. Ste. 33 Chattanooga, Tennessee 37402], and any client engaging the services of the Company ("Client").

 

Whereas, the Company offers professional services for the purpose of assisting clients in the completion of their projects, including but not limited to gathering necessary documents and other means essential to the successful execution of the projects.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the Parties agree as follows:

  1. Scope of Work: The Client authorizes the Company to perform the following tasks on their behalf, as required to complete their projects:Document gathering and organization related to the projects.Coordination with third parties, if necessary, to facilitate the project's progress.Any other reasonable means deemed necessary by the Company to fulfill the project requirements.

  2. Term: This Contract shall commence on the effective date stated below and shall remain in effect until the completion of the Client's projects, or until either Party terminates the Contract by providing written notice to the other Party.

  3. Confidentiality: Both Parties acknowledge and agree to maintain strict confidentiality regarding any sensitive information disclosed during the course of the projects.

  4. Compensation: The Parties shall agree upon the compensation for services rendered under this Contract in a separate agreement or as outlined in the Company's standard pricing terms.

  5. Ownership of Work: All work completed by the Company under this Contract shall become the property of the Client upon successful completion of the projects.

  6. Termination: Either Party may terminate this Contract for any reason by providing a written notice of termination to the other Party. Upon termination, the Company shall provide all completed work and relevant documents to the Client.

  7. Governing Law and Jurisdiction: This Contract shall be governed by and construed in accordance with the laws of [Tennessee/United States]. Any disputes arising under this Contract shall be subject to the exclusive jurisdiction of the courts of [Tennessee/United States].
